About the Role:
Were on the hunt for an experienced Real Estate Associate - Joint Ventures to join the hive on behalf of our client in Dallas, TX. This role is designed for a seasoned attorney with a minimum of six years of experience, focused on real estate finance and joint ventures. This position offers a clear path toward advancement within a dynamic Real Estate group, handling sophisticated transactions across various real estate sectors.

Your Mission:

  • Real Estate Joint Ventures : Represent institutional equity investors and developers in joint venture transactions involving multifamily, industrial, cold storage, and other commercial real estate properties (joint venture structuring, client negotiation).
  • Lead Drafting and Negotiation : Take charge of drafting and negotiating joint venture agreements, representing clients interests in complex real estate partnerships (contract negotiation, strategic advisory).
  • Real Estate Financing : Represent institutional borrowers in construction and stabilized real estate financing transactions, including debt fund, structured finance, and CMBS-style financings (real estate finance, debt structuring).
  • Capital Stack Management : Manage various capital stack components, including mezzanine financing for diverse commercial real estate projects (financial strategy, capital structuring).

Core Competencies:

  • Joint Venture Structuring : Expertise in structuring and negotiating joint venture agreements.
  • Real Estate Finance : Extensive experience in construction and stabilized financings, including complex financing structures.
  • Legal Drafting : Proficient in drafting sophisticated legal documents.
  • Client Relations : Strong client management skills with institutional investors and developers.

What You Bring:

  • Qualifications : JD with a minimum of six years of experience in real estate law, focused on joint ventures and financing.
  • Hands-On Experience : Lead experience in drafting and negotiating joint venture agreements and financing documents.
  • Interpersonal Skills : Ability to work effectively with clients and within a team environment.
  • Strategic Insight : Proficiency in managing complex capital stacks and financing arrangements.

Skills Required:

  • Joint Venture Law : Expertise in structuring and negotiating joint ventures.
  • Real Estate Finance : Skilled in construction and stabilized financings, including CMBS and debt fund structures.
  • Legal Documentation : Strong legal drafting and negotiation abilities.
  • Capital Management : Familiarity with mezzanine finance and other capital stack elements.

Certifications:

  • State Bar Admission : Licensed to practice law in Texas.

Education:

  • Juris Doctor (JD) from an accredited law school.
