Position : Associate General Counsel / General Counsel of 25m Studios

Location : New York, NY (hybrid in-office)

25madison is seeking an experienced corporate and startup attorney to join its team. Position will be based at our offices in Union Square, with flexibility to work remotely.

About this Role :

Your role will be to manage all legal matters for 25madison Studios and its family of incubations and portfolio companies. You will work closely with our incubation development team and portfolio CEOs on corporate organizational matters, early-stage labor and employment matters, venture financings, design partnerships, and other commercial agreements and strategic partnerships. This is an ideal role for someone seeking exposure to a broad range of startup issues and an opportunity to advise CEO-level executives on critical legal matters. This role will also have the opportunity to advise on fund formation, governance, and investment matters based on interest and capacity. We are looking for someone who is motivated to develop into the role of General Counsel of 25madison Studios and grow with us as we and our portfolio companies scale. 

Key Responsibilities :

• Advise portfolio companies on formation and organizational matters, corporate governance, early-stage labor & employment matters, product development, venture financings, regulatory considerations and commercial partnerships
• Advise on structuring, negotiation and execution of venture financing transactions and other investment transactions 
• Review and negotiate commercial contracts, including vendor agreements, design partnership agreements, SaaS agreements, engagement letters, and NDAs
• Assist in the implementation of processes to scale with the growth of the company and its affiliates
• Demonstrated ability to work effectively with the highest level of senior management, and collaboratively with other corporate functions, including Finance and HR
• Problem solver with common sense judgment and ability to assess risk, prioritize and get things done
• Strong track record of working with a wide range of commercial agreements, without significant supervision
• Exceptional communication skills and ability to explain complex ideas in a succinct and impactful manner
• Self-starter with ability to operate autonomously while being a team player who brings a positive attitude to the workplace
• J.D. from accredited law school

· Strong academic record and bar admission in New York

About You :

• J.D. from an accredited law school
• Practicing for a minimum of 6-8 years, ideally with a mix of law firm (corporate) and in-house startup experience
• Experience forming and counseling early-stage companies and advising on general startup-related questions and activities
• Experience advising on venture financing transactions, cap tables, corporate governance and early-stage executive compensation
• Strong commercial contract drafting, negotiating, and issue-spotting skills 
• Experience with healthtech regulatory matters a plus
• Connectivity to and/or experience advising PE firms a plus

Target Annual Base Salary Range : $240,000-260,000. Final salary will be determined by the candidate's experience, knowledge, and skills. The salary reflected does not include an annual discretionary bonus, equity compensation, or other benefits offered by the Company, as applicable.
